Questions

What is a working capital peg?

The peg is the normal level of net working capital agreed in a sale; the price moves by how far the balance at closing deviates from it. CFO Foundry holds working capital against its twelve-month average every month: see NWC.

How is adjusted EBITDA calculated?

Adjusted EBITDA is reported EBITDA corrected for one-off, non-operating and owner-related items, each documented with its reason. CFO Foundry shows the bridge from reported to adjusted EBITDA month by month, with the category, reason and account of every adjustment: see Adjustments.

What goes into a due diligence data room?

The documents a buyer asks for, in these sections: Financial, Legal & Corporate, HR & Workforce, Operations, Commercial, IT, Insurance & Compliance. CFO Foundry's checklist has 43 items, links the files it produces and shows what is still missing: see Data Room.

What does a 26-week cash forecast show?

The cash expected at the end of each of the next 26 weeks and its lowest point, from everything due to come in and go out. CFO Foundry builds it from the company's own exports and opens every line to its clients and suppliers: see Cash 26W.

How is utilisation calculated in a service company?

Utilisation is the share of the hours available for client work that is billed. CFO Foundry measures it per department and sets it against the break-even rate: see Departments.

What do I need to provide?

Monthly exports from the systems the company already runs: the trial balance, the receivables and payables ledgers, hours, headcount and, where there is one, the pipeline. Nothing is typed into a template: see Intake Formats.
